C&S Product Sourcing · ABN 77 912 693 224 · Melbourne, Victoria, Australia
These terms apply to information you provide to C&S Product Sourcing in connection with an export management enquiry or engagement.
Where an Australian producer appoints C&S for a defined product or market opportunity, C&S acts as its non-exclusive authorised export market-development and trading partner. Appointment is made in writing and is specific to approved products and markets.
C&S acts as an independent contractor and prospective purchaser and reseller, not as the producer's agent. The scope of C&S's authority and the applicable commercial arrangements are agreed in writing before work begins, and C&S acts only within that authority.
Appointment does not create exclusivity, employment or partnership. A producer's existing customers, appointed agents, distributors and protected accounts are excluded unless the producer agrees otherwise in writing.
There is no upfront fee for inclusion in C&S's represented supplier portfolio or for presenting approved capability information to trade-support organisations and responding to qualified opportunities.
Where a transaction is approved, separate documents set the producer's net price to C&S, payment terms, Incoterms and responsibilities. C&S may purchase and resell as principal and independently determine its resale price and buyer terms, and carries the commercial risk on any such sale.
Producer-requested proactive market-development work is separately scoped and quoted. There is no standard fixed commission rate.
The Australian producer approves its products, markets, buyer accounts, samples, its net supply price and supply terms, and every order it accepts from C&S.
C&S has no power to bind the producer. C&S may not enter a contract, accept an order, grant credit, make a warranty, approve a discount, alter product claims or incur a cost in the producer's name. C&S will use current information supplied or approved by the producer and will promptly disclose each material buyer opportunity.
The producer remains responsible for the accuracy of the product, certification, labelling, supply and compliance information it provides.
C&S treats non-public commercial material as confidential and does not disclose supplier pricing, specifications or buyer relationships without permission. Confidentiality does not apply to information already public, disclosed publicly by you, or already held by C&S.
C&S may work with more than one Australian producer in a category. Opportunities are matched on specification, certification, capacity, packaging, pricing, lead time and buyer requirements. Deal-specific protection may be agreed when a producer is selected for a named opportunity.
Either party may withdraw an authorisation by written notice. Withdrawal does not alter a live opportunity or transaction already confirmed in writing unless the parties agree otherwise.
C&S does not guarantee regulatory approval, buyer creditworthiness, export sales or completed orders.
C&S is not a marketing agency, freight forwarder, customs broker, food-regulation consultant or fulfilment business, and does not perform regulated services. C&S coordinates with qualified specialists where a transaction requires them.
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth) that cannot lawfully be excluded.
These terms are governed by the laws of Victoria, Australia.
